STATUTE OF MEMBERSHIP

of the Regional Public Organization
"Group to Promote Professional Cooperation of Patent Attorneys" (FICPI Russia)

1. GENERAL

1.1. The present Statute in accordance with the current legislation of the Russian Federation, the Charter of the Regional Public Organization "Group to Promote Professional Cooperation of Patent Attorneys" (hereinafter referred to as "the Organization") sets out the conditions of membership in the Organization, including: conditions and procedure for admission to membership and termination of membership in the Organization, the rights and obligations of the members, types and procedure for the payment of admission and membership (annual) fees of the members of the Organization.
1.2. Admission into the Organization and withdraw from of its membership is based on the principle of voluntariness.
1.3. The Organization is open to new members.
1.4. The Member of the Organization may be an individual who has attained the age of 18, and who is the acting patent attorney. (hereinafter - the "patent attorney"), registered in the Russian PTO or the Eurasian Patent Office, having experience as a patent attorney at least 3 years, as well as positive professional reputation and a "portfolio" of clients, while recognizing the Charter of the Organization, voluntarily assuming the obligation to timely pay the admission and membership (annual) fees.
1.5. The Members have the rights and obligations identified by the current edition of the Charter of the Organization and by this Statute.
1.6. The membership in the Organization is not an obstacle for a membership in other professional organizations and social associations.

2. PROCEDURE FOR ADMISSION TO A MEMBER OF THE ORGANIZATION

2.1. The admission of a new member to the Organization is performed by the Border on the ground of a written application submitted by the candidate for membership of the Organization to the President of the Organization and in the presence of at least two (2) written recommendations from members of the "International Federation of Intellectual Property Attorneys" (hereinafter "FICPI") , with the exception of the recommendations of the members from FICPI Russia.
2.2. A written application from the candidate shall include:
    - information on the nature of his or her professional activities;
- information on work experience as a patent attorney;
- an indication of the contact information of the members of the "FICPI," to whom a request for recommendations can be sent to;
- a consent of the candidate to recognize and respect the provisions of the Charter and internal documents of the Organization.
2.3. Upon receipt by the Board of an application from the candidate and the recommendations from members of the "FICPI" the President of the Organization sends to the Secretary General of the "FICPI" the information on the admission of the candidate as a new member of the Organization.
2.4. The President of the Organization carries out a preliminary analysis of the documents received from the candidate, and prepares a presentation for the next meeting of the Board.
2.5. The Board shall consider an application from the candidate for membership of the Organization at the next meeting of the Board.
2.6. The decision of the Board on the admission of the candidate for membership is taken by a simple majority vote of all members of the Board present at the meeting in an open vote by a show of hands or fill ballots.
2.7. A candidate is considered to be admitted into membership of the Organization as of the date of the relevant decision of the Board.
2.8. The decision of the Board on the admission of the candidate for membership of the Organization shall be notified to the candidate within a reasonable time. Simultaneously, the details for payment of admission and membership (annual) fees are sent to the candidate by e-mail.
2.9. Upon the Board's decision on the admission of the candidate to membership of the Organization, the candidate shall pay the admission fee and membership (annual) fee in the manner determined by the Board, and provide the relevant documents confirming payment of the admission and membership (annual) fees.
2.10. An admission to membership of the Organization may be denied, in a reasonable time it must be communicated to the candidate.

3. RIGHTS AND OBLIGATIONS OF THE MEMBERS OF THE ORGANIZATION

3.1. The Members of the Organization have equal rights and equal obligations.
3.2. The rights of a Member cannot be transferred to third parties.
3.3. The Members of the Organization shall not retain the rights to the property they have transferred to the ownership of the Organization.
3.4. The Members shall not be liable for the obligations of the Organization, and the Organization is not responsible for the obligations of its Members.
3.5. The Members of the Organization have the right to:
    - elect and be elected to the management and supervisory bodies of the Organization;
- monitor the activities of the governing bodies of the Organization in accordance with the provisions of the Chapter;
- participate in projects, programs and other events organized by the Organization;
- participate in managing the affairs of the Organization in accordance with the procedure stipulated by the provisions of the Charter;
- receive information about the activities of the Organization;
- freely withdraw out of the Organization at his or her discretion;
- submit to the governing bodies of the Organization the proposals, suggestions, comments, programs and projects aimed at achieving the goals of the Organization;
- to apply to the governing bodies of the Organization with statements and proposals.
- make voluntary property contributions for statutory activities of the Organization. The effects and things, transferred to the Organization by its members, are the property of the Organization;
- attend seminars, conferences, "round tables", discussion clubs and other regular activities of the Organization;
- participate in committees and working groups established by the Organization for the implementation of specific projects and activities.
3.6. The Members of the Organization must:
    - comply with the provisions of the Charter, the internal documents of the Organization;
- in a timely fashion pay for the admission and membership fees in the manner prescribed by the Board;
- comply with the principles adopted by the Organization, the rules and standards of practice and professional ethics in relation to the members of the Organization, to third parties;
- take part in the activities of the Organization;
- on request of the governing bodies of the Organization submit information, which not related to confidential one, needed for statutory activities of the Organization;
- exercise the decisions taken by the governing bodies of the Organization; - ensure high professional standards, meet the high level of professional ethics of the profession of the patent attorney;
- care of the property of the Organization, take measures to prevent the damage that can be caused to the Organization;
- not disclose the information having confidential nature.
- in a timely fashion (within 10 working days of the change) provide the Organization with the additional information and documents if there are any changes in the data previously submitted to the Organization by its member;
- perform other duties stipulated by the Charter of the Organization and internal documents of the Organization, as well as by the legislation of the Russian Federation.

4. ADMISSION AND MEMBERSHIP (ANNUAL) FEES

4.1. In accordance with the Charter of the Organization and this Statute, the Members shall pay an admission fee and regularly pay membership (annual) fees in the manner prescribed by this Statute and the decisions of the Board.
4.2. The admission fee is paid by a member only once when joining the Organization.
4.3. In the event of termination of membership of the Organization, the admission and membership (annual) fees (hereinafter - the "fees") are not refundable.
4.4. The obligation to pay fees in a timely fashion and in accordance with the established procedure is taken by a member voluntary and is a prerequisite for membership.
4.5. The amount, fee payment schedule, payment terms of the fees are determined by the decisions of the Board.
4.6. The accountability of the fees is carried out by the Bookkeeping of the Organization.
4.7. In case of evasion of the payment of the fees (non-payment of the fees for more than three (3) consecutive months, without a valid reason, from the date set by the Board) may be considered by the Board as a ground for the decision to expel a member from the Organization.
4.8. The monetary assets from receipt of the fees are allocated and spent in accordance with the goals established by the Charter of the Organization.
4.9. The fees shall be paid in monetary assets in Russian rubles at any one time. The payment is made in the form of non-cash payment to the bank account of the Organization.
4.10. Any exemption of a member of the Organization from the obligation to pay fees shall not be conceded.

5. TERMINATION OF MEMBERSHIP

5.1. The membership of the Organization is terminated in the following cases:
    - upon voluntary withdrawal from the membership of the Organization;
- in case of exclusion from the membership of the Organization;
- in connection with the death of an incumbent member.
5.2. A withdrawal of an individual person from the members of the Organization is implemented by submitting a written application to the President of the Organization. In this case, the membership in the Organization shall be considered terminated from the date of receipt of the application by the President of the Organization.
5.3. The disaffiliation with the Organization of its member does not exempt the latter from obligations to the Organization incurred during the period of its membership in the Organization, including the payment of fees.
5.4. A member of the Organization may be expelled from membership in the following cases:
    - for violation of the provisions of the Charter of the Organization;
- for violation of the rules of business and professional ethics of the members of the Organization;
- for the illegal exploitation of the symbols of the Organization;
- for non-payment of the fees for more than three (3) consecutive months, without a valid reason, from the date set by the Board;
- for causing the material damage to the Organization;
- for the systematic non-execution or improper performance of duties as a member, as well as for the acts or omissions of a member, preventing the normal operation of the Organization;
- under the circumstances, the occurrence of which is incompatible with a further stay of this member in the Organization.
5.5. Upon identifying the above facts (paragraph 5.4 of this Statute) the President of the Organization prepares a report on the need to expel the corresponding member from the membership of the Organization for addressing this issue at the next meeting of the Board.
5.6. A member may be expelled from the membership of the Organization by the decision of the Board adopted by a simple majority of the total votes of the members of the Board present at a meeting of the Board. In this case, the membership in the Organization shall be considered terminated from the date of taking the relevant decision by the Board.
5.7. The information on termination of the membership of the Organization, at the discretion of the President, may be posted on the official website of the Organization.
5.8. The members of the Organization, who left or were excluded from the Organization, shall not be entitled to recover their money paid by them as their fees. These members shall not be entitled also to claim compensation for any costs associated with their membership in the Organization.
